BERNARD KATZ

Bernard Katz has almost 30 years of corporate finance and private equity
experience. He spent most of his career at Standard Bank where he was a director in corporate finance and later in private equity. He began his
corporate finance career in 1986 when he joined the corporate and international finance team at
Anglo American Corporation of South Africa. He has also served terms as managing director of
Brait Advisory Services and head of corporate finance at ING Barings in South Africa. He served
articles at Fisher Hoffman & Stride. During 2012 Bernard was appointed to the Directorate of
Market Abuse of the Financial Services Board

During his career he has been involved in numerous transactions. Some of the more prominent

  •   Zenex Oil – Management buyout and private equity investmen

  •   MTN - Listing and rights offer in MCell and capital raising and introduction of SBC International
  •   South African Breweries – Acquisition of Plate Glass and bond issue
  •   D'Ieteren - Acquisition of Plate Glass
  •   Premier Group – Disposal of Clicks and rights offer
  •   Commercial Union – Acquisition by Mutual and Federal
  •   Afgri - Conversion of OTK from co-operative and listing of Afgri
  •   Adcock Ingram - Merger with Premier Pharmaceutical and minority takeout by Tiger Brands
  •   Argus Newspapers – Unbundling, listing and sale of shareholding to Independent Newspapers
  •   Barloworld - Unbundling of Reunert, CG Smith and Rand Mines Properties
  •   Chilanga Cement – Listing on the Lusaka Stock Exchange
  •   Avgold – Fair and reasonable opinions on merger of various mines
  •   Gold Fields – Merger of Kloof, Libanon and Venterspost
  •   JCI – Merger of South Deep and Western Areas
